How long does company registration take in India? In most cases a Private Limited Company, an LLP or an OPC is registered in 7 to 10 working days once your documents are ready and your name is approved, subject to MCA approval. The timeline is fairly predictable when you understand each stage and what slows it down. Here is the full breakdown.
The stages and how long each takes
Registration is a sequence, not one filing. Each stage feeds the next, so a delay early on pushes everything back.
- Digital Signature Certificate (DSC) for the directors or partners, about 1 to 2 days.
- Name approval through the MCA, about 1 to 3 working days.
- The main incorporation filing, SPICe+ for a company or FiLLiP for an LLP, leading to the Certificate of Incorporation, about 3 to 7 working days.
Add these up and a clean application lands in roughly 7 to 10 working days.
Private Limited Company timeline
For a Private Limited Company the path is:
- DSC for each director, 1 to 2 days.
- Name reservation through the MCA, 1 to 3 working days.
- SPICe+ filing with the Memorandum and Articles of Association, plus AGILE PRO S for GST, EPFO, ESIC and the bank account, leading to the Certificate of Incorporation with PAN and TAN, 3 to 7 working days.
Total, usually 7 to 10 working days once documents are ready. The DIN for directors is allotted inside SPICe+, so there is no separate DIN step in most cases.
LLP timeline
An LLP follows a similar rhythm:
- DSC for the designated partners, 1 to 2 days.
- Name reservation, 1 to 3 working days.
- FiLLiP filing leading to the Certificate of Incorporation, 3 to 7 working days.
- The LLP agreement is then filed in Form 3 within 30 days of incorporation. This step does not hold up the certificate, but it is a deadline you must not miss.
So the LLP itself is registered in about 7 to 10 working days, with the agreement filing close behind.
OPC timeline
A One Person Company is structurally close to a Private Limited Company, so the timeline is the same, about 7 to 10 working days. The one extra item is the nominee’s consent in Form INC 3, filed alongside SPICe+. Gather the nominee’s PAN and Aadhaar early so this does not become a last minute scramble.
What causes delays
The 7 to 10 day figure assumes a clean run. These are the things that stretch it:
- Incomplete or mismatched documents, for example a name that reads differently across PAN, Aadhaar and the identity proof.
- A chosen company name that is already taken or too similar to an existing name or trademark, which means a fresh name application.
- Slow signatories, when a director or partner is slow to complete video verification or sign with the DSC.
- A registered office proof that is missing the no objection certificate, or a utility bill that is too old.
- MCA queries on the form, which add a resubmission cycle.
How to avoid them
A little preparation removes most of the delay.
- Collect PAN, Aadhaar, one photo ID and one address proof for every person before you start, and check that names match exactly.
- Pick two or three name options and check availability against the MCA database and the trademark register first.
- Keep the registered office proof ready, the utility bill, the rent agreement and the no objection certificate if it is rented.
- Get every signatory to complete their DSC and video verification promptly.
- Have a professional review every scan for clarity and consistency before the form goes in.
